Referral Partner Program Agreement
1. Definitions and Partner Status
"Company," "We," "Us": Refers to Expat Life Insurance Company. We are a licensed insurance broker authorized to sell life insurance products.
"Affiliate Partner," "Partner," "You": An individual or entity accepted into the Program. The Partner is expressly NOT a licensed insurance agent, broker, producer, or advisor of the Company.
"Qualified Referral": A potential client referred by the Partner who meets the following conditions:
The lead is new and not already in our database.
The lead provides their consent to be contacted.
The lead meets the Company's minimum qualification criteria (e.g., resident of a jurisdiction we serve, seeking life insurance).
"Referral Fee": The fixed, flat compensation paid to the Partner for a Qualified Referral, which is not based on the purchase or premium amount of any Policy.
2. Partner Responsibilities and Prohibited Activities
2.1 Scope of Activity: The Partner's sole activity under this Agreement is the introduction or referral of potential clients to the Company.
2.2 STRICT PROHIBITION on Insurance Activities: The Partner MUST NOT, under any circumstances:
Discuss, quote, or explain specific insurance policy terms, conditions, premiums, or benefits.
Offer advice or recommendations regarding the suitability of any policy.
Collect applications, signatures, or premium payments.
Be involved in the negotiation, sale, or solicitation of insurance.
2.3 Compliance: The Partner acknowledges that they are unlicensed and that engaging in any prohibited activity (Section 2.2) may constitute a violation of insurance laws, resulting in immediate termination of this Agreement and potential regulatory action against the Partner and the Company.
2.4 Communication Disclosure: The Partner must clearly and conspicuously disclose to all referrals that they are acting only as a Referral Source and are not a licensed insurance professional.
3. Referral Fee Structure and Payment
3.1 Referral Fee Amount: The Partner will earn a Referral Fee for every Qualified Referral delivered through their unique tracking link or referral form.
3.2 Basis of Payment: The Referral Fee is paid solely for the valid introduction (lead) and is NOT contingent on the subsequent sale of an insurance policy.
3.3 Payout Schedule: Fees for Qualified Referrals confirmed in a given month will be calculated and disbursed monthly on the 25th, provided the Partner has accrued a minimum of $500 in Referral Fees.
3.4 Payment Method: Bank Transfer.
4. Termination and Indemnification
4.1 Termination for Cause: The Company shall immediately terminate this Agreement, without notice or further payment, if the Partner is found to be in breach of Section 2.2 (Prohibited Activities) or any applicable insurance laws.
4.2 Indemnification: The Partner agrees to indemnify and hold the Company harmless from any and all claims, fines, liabilities, or damages arising out of the Partner's non-compliant activities, including, but not limited to, unauthorized selling, solicitation, or negotiation of insurance.
